These Terms of Service (“Terms”) govern your access to and use of the websites, products, and services operated by Simpler Spec Holdings Inc. By accessing or using our services, you agree to these Terms.

1. Agreement to terms

These Terms form a binding agreement between you and Simpler Spec Holdings Inc. If you are using our services on behalf of a business, you represent that you have authority to bind that business to these Terms.

If you do not agree to these Terms, do not use our websites or services.

2. Our services

Simpler provides digital platforms and related services that may include commerce, payments, inventory, scheduling, vendor management, and business operations tools. Features may vary by product, region, and subscription plan.

We may update, modify, suspend, or discontinue parts of our services at any time, including to improve performance, security, or compliance.

3. Accounts and eligibility

Some services require an account. You agree to provide accurate information, keep your credentials confidential, and promptly update account details as needed. You are responsible for activity that occurs under your account.

You must be legally able to enter into a contract in your jurisdiction to use our services. Certain merchant and payment features may require additional verification or eligibility checks.

4. Acceptable use

You agree to use our services only for lawful purposes and in accordance with these Terms.

  • Do not misuse the platforms, interfere with security, or attempt unauthorized access
  • Do not upload unlawful, harmful, fraudulent, or infringing content
  • Do not use the services to violate payment network rules, export controls, or applicable laws
  • Do not resell, scrape, or reverse engineer our services except where permitted by law
  • Do not use the services in a manner that harms Simpler, other users, or third parties

5. Subscriptions, fees, and billing

Paid plans, fees, billing cycles, and taxes are described at purchase or in your product agreement. Prices may vary by region and plan. Unless otherwise stated, fees are non-refundable except where required by law.

Failure to pay amounts due may result in suspension or termination of access to paid features.

6. Intellectual property

Simpler and its licensors own all rights in the websites, software, branding, documentation, and related materials. Except for the limited right to use the services as permitted under these Terms, no rights are granted to you.

You retain ownership of content you submit, but grant Simpler a worldwide license to host, process, and display that content as needed to operate the services.

7. Third-party services

Our platforms may integrate with third-party payment providers, communications tools, and other services. Your use of those third-party services may be subject to their own terms and privacy policies. Simpler is not responsible for third-party services we do not control.

8. Disclaimers

Our services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the services will be uninterrupted, error-free, or completely secure.

9. Limitation of liability

To the fullest extent permitted by law, Simpler and its affiliates will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or business opportunities.

Our aggregate liability arising out of or relating to these Terms or the services will not exceed the amounts you paid to Simpler for the services giving rise to the claim during the twelve (12) months before the event.

10. Termination

You may stop using the services at any time. We may suspend or terminate access if you violate these Terms, create risk or possible legal exposure, or fail to pay fees when due. Provisions that by their nature should survive termination will survive.

11. Governing law

These Terms are governed by the laws of Alberta, Canada, without regard to conflict-of-law principles, except where mandatory local consumer laws apply. Courts in Alberta will have exclusive jurisdiction over disputes arising from these Terms, subject to applicable local rights.

12. Changes to these Terms

We may update these Terms from time to time. Material changes will be indicated by updating the “Last updated” date and, where appropriate, additional notice. Continued use of the services after changes become effective constitutes acceptance of the updated Terms.
